1. Introduction and Acceptance of Terms

These terms of service govern your use of MIMIQ-Circuits, a quantum circuit simulator, and related services. By accessing or using our services, you agree to be bound by these terms and conditions. Please read these terms of service carefully before using MIMIQ-Circuits. If you do not agree with any provision of these terms of service, you should not access or use our services.

Throughout these terms of service, “We,” “Us,” or “Our” refers to Qperfect SAS, and “You” or “User” refers to any individual or entity accessing or using MIMIQ-Circuits.

By accessing or using MIMIQ-Circuits, You represent and warrant that You have the legal authority to enter into these terms of service and that You have the authority to bind Your entity, if applicable, to these terms of service.

These terms of service constitute the entire agreement between You and QPerfect SAS regarding the use of MIMIQ-Circuits and supersedes any prior agreements or understandings.

2. Definitions

In these terms of service, the following terms shall have the meanings ascribed to them: * “Terms of Service” refers to the present terms and conditions hereto that constitutes the entire agreement between You and Us, and supersedes any and all oral and/or written communications or understandings relating to the Services provides by Qperfect SAS. * “MIMIQ-Circuits” refers to the quantum circuit simulator services provided by QPerfect SAS, including the software, APIs, and associated functionalities. * “Services” refers collectively to any other services provided by QPerfect SAS through its platform.

3. Description of Services

3.1 We provides Services that allow Users to connect and perform simulations of quantum circuit through our platform. These simulators are designed to provide a virtual environment for quantum computing experimentation, research, and development. It is a universal large-scale circuit simulator capable of accurately simulating quantum circuits beyond the capabilities of the best existing quantum computers.

3.2 MIMIQ-Circuits may include features such as quantum circuit evaluation, quantum state visualization and professional tools for benchmarking and optimizing the performance of quantum hardware, quantum error correction protocols and quantum algorithms in the NISQ/post-NISQ era.

These services are provided on an “as is” basis, and the availability of specific features may be subject to change or limitations at QPerfect SAS’s discretion.

3.3 Users may access to MIMIQ-Circuits through Our provided APIs and open-source libraries. These resources enable Users to connect their applications, software, or systems to MIMIQ-Circuits and use their functionalities.

3.4 It is important to note that MIMIQ-Circuits are intended for simulation purposes only and do not provide access to physical quantum computing hardware or networks.

3.5 QPerfect SAS may, from time to time, update or modify MIMIQ-Circuits, add or remove features, or discontinue certain Services. We will make reasonable efforts to notify Users of any material changes or disruptions to the Services, but We cannot guarantee uninterrupted availability or compatibility with all systems or software.

3.6 Users are solely responsible for providing and maintaining any necessary hardware, software, or network connectivity required to access and use MIMIQ-Circuits.

3.7 MIMIQ-Circuits aim to provide accurate and realistic simulations of quantum computing behavior, they may not fully replicate the performance or outcomes of physical quantum computers.

3.8 QPerfect SAS reserves the right to limit or restrict access to MIMIQ-Circuits in cases of suspected abuse, fraudulent activity, or violation of these Terms of Service.

4. User Obligations and Prohibited Activities

4.1 By using MIMIQ-Circuits, You agree to comply with the following obligations:

  • In order to access the Remote Simulator’s functionalities, You shall create a User account with a password;
  • You are responsible for providing accurate, up-to-date, and truthful information during the registration process and throughout Your use of MIMIQ-Circuits. You agree to promptly update any changes to Your information to ensure its accuracy;
  • You are responsible for maintaining the confidentiality of Your account credentials, including Your username and password. You must not share Your account details with any third party or allow unauthorized access to Your account;
  • You agree to use MIMIQ-Circuits in compliance with all applicable laws, regulations, and third-party rights. You must not use the services for any illegal, fraudulent, or unauthorized purposes;

In addition, You are strictly prohibited from engaging in the following activities:

  • Accessing or attempting to access to MIMIQ-Circuits by any means other than the authorized interfaces provided by QPerfect SAS;
  • Reverse engineering, decompiling, or disassembling any part of MIMIQ-Circuits or any underlying software;
  • Interfering with or disrupting the operation of MIMIQ-Circuits or the servers and networks connected to it;
  • Uploading or transmitting any content that is unlawful, harmful, defamatory, obscene, or infringing upon intellectual property rights;
  • Engaging in any activity that may harm the security, integrity, or performance of MIMIQ␂Circuits or other Users’ systems.

4.2 QPerfect SAS reserves the right to suspend or terminate Your access to MIMIQ-Circuits if You violate any of the obligations or engage in any prohibited activities outlined in these Terms of Service. We may also take appropriate legal action against Users involved in fraudulent or harmful activities.

4.3 If You become aware of any unauthorized use or suspect any security breaches related to Your account, You must immediately notify QPerfect SAS and take appropriate steps to secure Your account.

5. Intellectual Property Rights

5.1 You acknowledge and agree that all intellectual property rights, including but not limited to copyrights, trademarks, trade secrets, and patents, associated with MIMIQ-Circuits, software, APIs, and any related materials or documentation, are the sole property of QPerfect SAS or its partners.

5.2 Subject to Your compliance with the present Terms of Service, QPerfect SAS grants You a limited, non-exclusive, non-transferable, and revocable license to access and use MIMIQ-Circuits solely for personal, research or internal commercial need purposes. This license does not grant You any ownership rights or rights to sublicense MIMIQ-Circuits.

5.3 QPerfect SAS may provide open-source libraries or software components to facilitate integration with MIMIQ-Circuits. Your use of these open-source materials is subject to the respective open-source licenses, and You are responsible for complying with the terms of those licenses.

5.4 Except as expressly permitted under these Terms of Service or as otherwise authorized by QPerfect SAS in writing, You must not:

  • Reproduce, distribute or publicly display MIMIQ-Circuits, software, APIs;
  • Modify, adapt, translate MIMIQ-Circuits, software, API;
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in or on MIMIQ-Circuits, software, APIs, or related materials;

If You provide any suggestions, feedback, or ideas regarding MIMIQ-Circuits, You agree that QPerfect SAS may use, modify, and incorporate such feedback for any purpose.

6. Privacy and Data Protection

QPerfect SAS is subject to the Law No. 1978-17 of January 6, 1978 relating to data processing, data files and individual liberties, modified and incorporating in particular the provisions of European Regulation 2016/679 of 27 April 2016 on the protection of personal data.

The terms “personal data”, “data subject”, “processor” and “sensitive data” have the meaning defined by the General Data Protection Regulations (GDR: No 2016-679).

QPerfect SAS collects personal data relating to the User only for the need of the Services and for its own commercial prospection. By using MIMIQ-Circuits, You consent to the collection, use, and disclosure of your personal information as described in the present Article.

Qperfect SAS will not process, host or transfer information collected from Users to another country. Nevertheless, Qperfect remains free to choose its technical and commercial subcontractors provided that it provides sufficient guarantees with regard to the requirements of the General Data Protection Regulations (GDR 2016-679).

Qperfect SAS undertakes to take all necessary precautions to safeguard the security of the information collected and in particular that it is not communicated to unauthorised persons. However, if an incident affecting the integrity or confidentiality of a User’s information should affect or be brought to the attention of Qperfect SAS, Qperfect SAS shall promptly inform the User and communicate the corrective measures taken.

Any User has a right to access, ask for a rectification, a deletion and make an opposition regarding the personal data referring to him collected by Qperfect SAS.

In order to exercise this right, the User should:

  • by making a written and signed request send at the following address: …, specifying the address to which the answer should be sent.

In the interests of confidentiality and the protection of personal Data, QPerfect must ensure the identity of the person before responding to such a request. The User must therefore identify him/herself by presenting a copy of his/her identity document (identity card or passport).

7. Disclaimer of Warranties and Limitation of Liability

7.1 You acknowledge and agree that the Services are provided on an “as is” and “as available” basis. QPerfect SAS makes no representations or warranties of any kind, whether express, implied, or statutory, regarding those Services, including but not limited to the accuracy, reliability, availability, suitability, or fitness for a particular purpose.

7.2 QPerfect SAS and its affiliates, officers, directors, employees, agents, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, data, goodwill, or other intangible losses arising out of or in connection with Your use or inability to use the Services, even if QPerfect SAS has been advised of the possibility of such damages.

7.3 You agree to indemnify and hold harmless QPerfect SAS and its affiliates, officers, directors, employees, agents, and suppliers from any claims, liabilities, damages, losses, costs, or expenses, arising out of or in connection with Your use of the Services, violation of these Terms of Service, or infringement of any third-party rights.

7.4 If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

8. Termination

8.1 Termination by You: You may terminate Your use of the Services at any time by discontinuing Your access to the services and closing Your account, if applicable.

8.2 Termination by QPerfect SAS: QPerfect SAS reserves the right to suspend or terminate Your access to the Services, in whole or in part, at its sole discretion and without prior notice, including but not limited to the following circumstances:

  1. If You violate any provision of these Terms of Service or engage in any prohibited activities outlined in these Terms of Service;
  2. If required to do so by law or governmental authority;
  3. If QPerfect SAS decides to cease providing MIMIQ-Circuits or any Services.

8.3 Upon termination of Your access to MIMIQ-Circuits, all rights granted to You under these Terms of Service will immediately cease, and You must cease all use of MIMIQ-Circuits and related materials. The provisions of these Terms of Service that are intended to survive termination, including but not limited to intellectual property rights, disclaimers of warranties, limitations of liability, indemnification obligations, and governing law provisions, shall continue to apply.

8.4 Upon termination of Your account, QPerfect SAS may, at its discretion, delete or retain Your account data in accordance with our data retention policies and applicable laws.

9. Modifications to the Terms of Service

9.1 QPerfect SAS reserves the right to modify or update this Terms of Service at any time, in its sole discretion. If We make any material changes to the Terms of Service, We will notify You by posting a prominent notice on our website or by sending You an email to the email address associated with Your account. It is Your responsibility to review the updated Terms of Service periodically.

9.2 Your continued use of the Services after the effective date of the updated Terms of Service constitutes Your acceptance of the modified terms. If You do not agree with the modifications, You should discontinue Your use of the Services.

9.3 QPerfect SAS may also introduce additional terms, policies, or guidelines governing specific features, services, or promotions offered through MIMIQ-Circuits. Such additional terms shall be incorporated into these Terms of Service by reference and shall be considered an integral part of the agreement between You and QPerfect SAS.

10. Miscellaneous

10.1 Nothing in these Terms of Service shall be deemed to create a partnership, joint venture, agency, or employment relationship between You and QPerfect SAS.

10.2 If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

10.3 QPerfect SAS’s failure to enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

10.4 These Terms of Service constitute the entire agreement between You and QPerfect SAS regarding Your use of MIMIQ-Circuits and supersede any prior or contemporaneous agreements, communications, or representations, whether oral or written, relating to the subject matter herein.

10.5 These Terms of Service shall not be assignable by You without QPerfect SAS’s prior written consent. QPerfect SAS may assign these Terms of Service, in whole or in part, to any third party without Your consent.

11.3 You are responsible for providing accurate and complete information when contacting Us for User support. Please provide relevant details and context to assist Us in understanding and addressing your concerns effectively.

12. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of France. Any dispute arising out of or in connection with these Terms of Service which cannot be settled amicably shall be submitted to the French competent courts
